Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website rialto.travel (the "Site") and the hotel booking and travel agency services (the "Services") provided by Rialto Travel ("we," "us," or "our").
By accessing or using our Site or Services, you agree to be bound by these Terms. If you do not agree, do not use our Site or Services.
1. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services. By using the Services, you represent and warrant that you meet these requirements.
2. Description of Services
Rialto Travel operates an online hotel booking platform. We act as an intermediary between you and hotel properties, facilitating reservations through our hotel booking partners and preferred VIP programs. We are not the hotel, and we do not own, operate, or control any hotel property.
Our Services include:
- Searching for and displaying hotel availability, rates, and VIP benefits
- Facilitating hotel booking requests on your behalf
- Communicating with hotels and VIP program partners regarding your reservations
- Providing booking confirmations, updates, and cancellation assistance
3. User Accounts
3.1 Account Creation
You may create an account using email magic link, Google OAuth, or passkey authentication. You are responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account.
3.2 Accurate Information
You agree to provide accurate, current, and complete information when creating your account and submitting bookings. You are solely responsible for ensuring all guest information (names, contact details, payment information) is correct. We are not liable for any issues arising from inaccurate or incomplete information you provide, including but not limited to booking errors, check-in problems, or failed reservations.
3.3 Account Security
You must notify us immediately if you suspect unauthorized use of your account. We are not liable for any losses resulting from unauthorized account access that is not caused by our gross negligence.
4. Booking Terms
4.1 Booking Requests
Submitting a booking through our Site constitutes a booking request, not a guaranteed reservation. Bookings are subject to availability and confirmation by the hotel and our booking partners. We will notify you once your booking is confirmed or if there are any issues.
4.2 Rates and Pricing
Hotel rates displayed on our Site are provided by our booking partners and are subject to change without notice until a booking is confirmed. Displayed rates include applicable taxes and fees unless otherwise noted. We do not guarantee that rates shown will be available at the time of booking confirmation.
4.3 VIP Benefits
VIP benefits (such as complimentary breakfast, room upgrades, early check-in, late checkout, and hotel credits) are provided by hotels at their discretion through our VIP program partnerships. Specific benefits vary by hotel, program, and availability. We facilitate these benefits but do not guarantee their availability or fulfillment. Benefits are subject to the hotel's terms and conditions and may be modified or withdrawn by the hotel at any time.
4.4 Direct Bookings and Loyalty Programs
All bookings made through Rialto Travel are processed as direct hotel bookings (not third-party reservations). You are generally eligible to earn loyalty points and status benefits according to the hotel's loyalty program terms. However, we do not guarantee eligibility for loyalty program benefits, as these are determined solely by each hotel's loyalty program.
4.5 Cancellations and Refunds
Cancellation and refund policies are determined by the hotel and rate plan selected at the time of booking. The applicable cancellation policy is displayed before you complete your booking. You acknowledge and agree to the cancellation policy presented to you at the time of booking. We are not responsible for any fees, penalties, or charges imposed by hotels for cancellations, modifications, or no-shows.
4.6 Payment
By providing payment information, you authorize us to share your payment details with the hotel to secure your reservation. Your credit card may be charged by the hotel directly according to their payment policies. We encrypt your card number client-side before transmission and do not store plaintext card numbers. You are responsible for ensuring your payment method is valid and has sufficient funds.
4.7 Travel Arranger Bookings
If you book on behalf of another person (as a travel arranger), you represent and warrant that you have the authority to make the booking on their behalf and that the guest has consented to the sharing of their personal information as described in our Privacy Policy.
5. Your Responsibilities
You agree that you are solely responsible for:
- The accuracy of all information submitted through the Site, including guest details, payment information, and special requests
- Reviewing and understanding the cancellation policy, rate terms, and hotel policies before completing a booking
- Complying with all applicable laws and regulations related to your travel
- Maintaining valid travel documents (passport, visa, identification) required for your stay
- Any costs, damages, or liabilities arising from your failure to provide accurate information, your failure to review booking terms, or your negligence
6. Prohibited Conduct
You agree not to:
- Use the Site or Services for any unlawful purpose or in violation of any applicable laws or regulations
- Provide false, misleading, or fraudulent information
- Use another person's account, identity, or payment information without proper authorization
- Attempt to gain unauthorized access to our systems, servers, databases, or other users' accounts
- Use any automated means, including bots, scrapers, crawlers, spiders, or scripts, to access, monitor, copy, or collect content or data from the Site without our prior written consent
- Conduct any automated queries, data mining, or systematic retrieval of data from the Site
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software or technology used in the Site or Services
- Interfere with or disrupt the integrity, performance, or availability of the Site or Services
- Circumvent, disable, or otherwise interfere with any security features of the Site
- Use the Site to transmit any malware, viruses, or other harmful code
- Resell, redistribute, or commercially exploit the Services, rates, or content obtained through the Site without our prior written consent
- Frame, mirror, or embed any part of the Site without our prior written consent
- Engage in any activity that imposes an unreasonable or disproportionately large load on our infrastructure
- Use the Site in any manner that could damage, disable, overburden, or impair the Site
Violation of these prohibitions may result in immediate termination of your account and access to the Services, and may subject you to civil and criminal liability.
7. Intellectual Property
All content on the Site — including text, graphics, logos, icons, images, software, and compilation of data — is the property of Rialto Travel or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content on the Site, except as incidentally necessary to use the Site for its intended purpose (e.g., your browser may cache pages).
8. Disclaimers
8.1 "As Is" / "As Available"
THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8.2 No Warranty on Accuracy
WE DO NOT WARRANT THAT THE INFORMATION, RATES, AVAILABILITY, HOTEL DESCRIPTIONS, IMAGES, VIP BENEFITS, OR OTHER CONTENT ON THE SITE IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. HOTEL INFORMATION IS PROVIDED BY THIRD-PARTY BOOKING PARTNERS AND HOTELS, AND WE ARE NOT RESPONSIBLE FOR INACCURACIES IN SUCH INFORMATION.
8.3 No Guarantee of Availability
WE DO NOT GUARANTEE THAT THE SITE OR SERVICES WILL BE AVAILABLE AT ALL TIMES, UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.
8.4 Hotel Services
WE ARE A TRAVEL AGENCY AND INTERMEDIARY. WE DO NOT OWN, OPERATE, OR CONTROL ANY HOTEL. WE ARE NOT RESPONSIBLE FOR THE ACTS, OMISSIONS, NEGLIGENCE, OR DEFAULTS OF ANY HOTEL, ITS EMPLOYEES, OR AGENTS, INCLUDING BUT NOT LIMITED TO: OVERBOOKING, PROPERTY CONDITIONS, SERVICE QUALITY, PERSONAL INJURY, PROPERTY DAMAGE, THEFT, OR ANY OTHER MATTER ARISING FROM YOUR HOTEL STAY.
9. Limitation of Liability
9.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RIALTO TRAVEL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
9.3 Basis of the Bargain
YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND RIALTO TRAVEL, AND THAT RIALTO TRAVEL WOULD NOT PROVIDE THE SERVICES WITHOUT THESE LIMITATIONS.
10. Indemnification
You agree to indemnify, defend, and hold harmless Rialto Travel and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of the Site or Services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your negligence or willful misconduct
- Any inaccurate, misleading, or incomplete information you provide
- Any booking made by you or through your account
- Any dispute between you and a hotel
11. Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
11.2 Informal Resolution
Before filing any formal legal action, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days.
11.3 Binding Arbitration
If we cannot resolve a dispute informally, you and Rialto Travel agree to resolve any claims relating to these Terms or the Services through final and binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, except that you retain the right to bring an individual action in small claims court. The arbitration shall be conducted in San Francisco County, California, or at another mutually agreed location.
11.4 Class Action Waiver
YOU AND RIALTO TRAVEL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims.
11.5 Jury Trial Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND RIALTO TRAVEL WAIVE ANY RIGHT TO A JURY TRIAL.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. We will post the updated Terms on this page and update the "Last Updated" date. Your continued use of the Site or Services after any changes constitutes your acceptance of the modified Terms. For material changes, we will provide notice via email or a prominent notice on our Site. It is your responsibility to review these Terms periodically.
13. Termination
We may suspend or terminate your account and access to the Site or Services at any time, without prior notice or liability, for any reason, including if you violate these Terms. Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) will survive.
14. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rialto Travel regarding the Site and Services.
15.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
15.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including but not limited to: natural disasters, acts of government, pandemics, war, terrorism, labor disputes, internet or telecommunications failures, or third-party service provider outages.
